Overview
Capitalized terms have the meanings given to them in the Terms of Service, API Terms of Service, Quote or Purchase Order, as applicable if they are not otherwise defined in this Pricing Schedule.
This page provides the information on the pricing for your ("User") use of the applicable Services referenced below. Account terms are not guaranteed for any period of time; therefore, all terms, including fees may change in accordance with the Terms of Service based on business performance data, market conditions, or for any reason. This Pricing Schedule is provided by Floral Software Holdings, Inc. d.b.a Koronet (the "Company", "Koronet") and its affiliates. The order of precedence among this Pricing Schedule, any Order, the API Terms of Service, and the Terms of Service is set forth in the Order of Precedence section at the end of this Pricing Schedule.
Your continued use of the Services constitutes acceptance of the fees and terms set forth on this page.
The Company and its affiliates reserve the right to assess applicable fees (“Network Transaction Fees”) for the full amount of invoices/orders with respect to transactions submitted to the Koronet network (“Network Transactions”), including any additions made to any such invoice/order. The Company further reserves the right to bill you for Network Transactions that are subsequently voided.
Transaction Services Fees
The following fees apply for transactions sent or received via the network and communication services provided by the Company or its affiliates, including through E2E, Koronet to Koronet (“K2K”), e-commerce, Mobile App, vendor availability, or any other channel that enable sending or receiving transactions which may be provided by Koronet, Komet Sales, LLC, Komet Sales SAS, Unosof, Inc., Cultivista, S.A., Axerrio Business Solutions BV, Floral Computer Systems LLC, or their affiliates either now or in the future. The fees are not subject to any offset or reduction in the event any transaction is subsequently reversed or canceled unless otherwise indicated.
Volume: Users with monthly transactions greater than $0 - Fee: 1.5%
Komet API Program Fees
The following fees apply to Transactional Methods — API methods that create, send, or receive transactions via the Company's network and communication services, as designated in the Documentation or applicable schedules. Fees are assessed on the Transaction Value of each transaction sent or received via the Komet API Program. "Transaction Value" means the total gross invoice value of the transaction, including any additions made to the invoice or order, without offset or reduction for any transaction subsequently voided, reversed, canceled, credited, or refunded, and excluding separately stated sales and use taxes. The applicable fee rate depends on Customer's specific contract and the product(s) or method(s) used, and is 3.5% in the absence of any such contract terms. Operational Methods (all other API methods) are not charged under this section; they are billed as API Credits under the API Credits and Consumption Fees section below.
API Credits and Consumption Fees
Operational Methods are billed on a token/credit consumption basis, per the following bands:

The overage rates above are standard list rates. Where Customer's Order or other written agreement with Koronet expressly states a different rate for Customer, that rate applies instead of the standard rate shown above.
Each API call consumes credits based on the method called: High-impact methods consume 2 credits per call; Mid-impact methods consume 1 credit per call; Basic methods consume 0.5 credits per call. Transactional Methods consume 0 credits and are billed as set forth above or in the applicable Order.
Unless otherwise stated in this schedule or an applicable Order: consumption is measured, and credit allotments reset, by calendar month computed in Coordinated Universal Time (UTC); unused credits do not carry over and are not refundable; and usage, consumption, and fee calculations are determined from the Company's systems of record.
Late Fees
If any invoiced amount is not received by Koronet or its affiliates by the due date, such unpaid amounts will accrue interest at a rate of 1.5% per month or the maximum allowed under state law (whichever is lower). Koronet or its affiliates, at their option, may suspend performance of any other obligation arising hereunder, in whole or in part, if Koronet or its affiliates do not receive all amounts due and owing under this Agreement within thirty (30) days after delivery of notice to you (which may be presented to you through the Services) of the failure to pay such overdue balances.
Taxes
You are solely liable for any and all taxes arising in connection with its purchases of licenses to Services or services hereunder other than any federal, state, local, or other taxes based on or measured by Koronet’s, or its affiliates’ net income or receipts. Fees under this Agreement are exclusive of federal, state, or local taxes, or other sales, use, value-added, excise, personal property, or other similar taxes.
Order of Precedence
In the event of any discrepancy or conflict among this Pricing Schedule, any Order or other agreement you may have with the Company and/or its affiliates, the API Terms of Service, and the Terms of Service, the following order of precedence applies: (1) the Order, to the extent it expressly addresses the conflicting subject matter; (2) this Pricing Schedule with respect to pricing, billing, API credits, usage allotments, overages, and fee calculations; (3) the API Terms of Service, with respect to API access, Credentials, grants, scopes, API data, and API use; and (4) the Terms of Service. Notwithstanding clause (1), fee rates are subject to change in accordance with this Pricing Schedule except to the extent an Order expressly fixes a rate for a stated period.
